1. Subscription agreement
RiskRover is a software-as-a-service product supplied by Be-Sure bv. Free is available for personal, educational and business planning by one user without company details, a VAT number or a payment card. Paid subscriptions, including Builder and Pro, are offered only for business use. The person purchasing a paid subscription confirms that they are acting for business purposes and have authority to bind the named customer organisation.
The agreement is formed when the customer accepts these terms and completes the applicable order or Checkout, or when the parties sign another order document. A signed order, proposal, statement of work, special terms or data processing agreement may supplement these terms and prevails for its specific subject matter if there is a conflict.
2. Access and permitted use
During an active subscription, Be-Sure grants the customer a limited, non-exclusive and non-transferable right for its authorised users to access RiskRover for the uses permitted by the selected plan: personal, educational or business planning on Free, and internal business activities on paid plans. The right of use is limited to the selected plan, licensed seats and subscription period.
Accounts are personal. The customer is responsible for its administrators, users, permissions and credential security. It must not bypass safeguards or plan limits, disrupt the service, reverse engineer or resell it except where mandatory law permits, or use it for unlawful, malicious or infringing activity.
3. Customer responsibilities and data
RiskRover supports professional quality-management work but does not replace the customer's decisions, governance, legal duties or acceptance of risk. The customer is responsible for its instructions and for the accuracy, lawfulness and permitted use of the information its users provide.
The customer retains its rights in that information (Customer Data) and authorises Be-Sure to process it only as needed to provide, secure and support the service and meet legal obligations. Customer-selected integrations are enabled at the customer's instruction and remain subject to the relevant provider's terms.
4. Plans, billing, VAT and invoices
The Free plan is limited to one user. Pro is billed per licensed user on the monthly or annual interval selected by the customer. The price and currency shown on the pricing page and in Checkout at the time of order apply to that order. Prices are exclusive of VAT and other applicable taxes unless expressly stated otherwise.
Stripe processes subscriptions and payments. Billit supports compliant invoice and e-invoice delivery, including Peppol or another supported format. RiskRover does not store full payment-card details. Customers purchasing a paid subscription must keep their business, billing and tax information accurate and pay amounts when due.
Belgian businesses are charged the applicable Belgian VAT. An EU business established outside Belgium must provide a successfully validated EU VAT identifier before reverse-charge treatment is applied. Paid Checkout or a paid upgrade does not proceed while required EU VAT verification is invalid, unavailable or unresolved. Businesses outside the EU are not charged Belgian VAT unless a different obligation applies.
Promotion codes apply only under their stated conditions. Be-Sure may pause an order or request supporting information when business eligibility or tax treatment cannot be established reliably.
5. Changes, cancellation and refunds
A Free user supplies company details inside the RiskRover app before a first paid upgrade. Saving those details does not change the Free plan. Verified details can be reused after an abandoned upgrade. Free can be managed or cancelled without providing company details through the restricted management portal. Once the details are saved, My subscription opens the full Stripe portal with upgrade and cancellation options.
A billing administrator may use the customer portal to change an allowed plan or seat quantity. An upgrade, longer billing interval or quantity increase may take effect immediately and create a prorated charge. A downgrade, move to a shorter interval, quantity decrease or move to Free is normally scheduled for the end of the current paid billing period.
Cancellation takes effect at the end of the current billing period. The customer keeps the existing subscription access until that date. Fees already paid are not refunded merely because the customer stops using the service or cancels early, except where mandatory law, an express written agreement or a confirmed billing correction requires otherwise.
6. Service and support
Be-Sure provides RiskRover with reasonable professional care and uses reasonable efforts to keep it secure and available. Maintenance, dependency failures and events outside Be-Sure's reasonable control may interrupt access. RiskRover is not guaranteed to be uninterrupted or error-free, and no service level applies unless separately agreed in writing.
The service may evolve, provided an update does not materially remove the core paid functionality during the current subscription without an appropriate remedy. Support is provided through the channels applicable to the selected plan or signed order.
7. Intellectual property, confidentiality and privacy
Be-Sure and its licensors retain all rights in RiskRover, including its software, interfaces, methods, documentation, branding and improvements. No ownership transfers to the customer. Customer Data remains the customer's data.
Each party must protect the other party's non-public business, technical and commercial information with reasonable care and use it only for the agreement. This does not cover information that is public without breach, was already lawfully known, is received lawfully from another source, or is independently developed.
The Privacy Policy explains Be-Sure's own processing. Where Be-Sure processes personal data in Customer Data on the customer's behalf, an applicable data processing agreement governs that processing and prevails for data-protection matters.
8. Suspension, termination and data
Be-Sure may suspend affected access where reasonably necessary to address a material breach, non-payment, unlawful use, a security risk or harm to the service or another customer. Where practicable, Be-Sure will give notice and a reasonable opportunity to remedy the issue before suspension.
Either party may terminate for an unremedied material breach after reasonable written notice, or immediately where the breach cannot be remedied or applicable law permits. Normal subscription cancellation follows section 5.
On termination, the right to use RiskRover ends. The customer should request any needed export before access ends. Export, deletion and legally required retention are handled under the applicable agreement, Privacy Policy, data processing agreement and mandatory law.
9. Liability and events outside control
Nothing in these terms limits liability that cannot lawfully be limited. Subject to that rule and any different signed agreement, neither party is liable for indirect or consequential loss, lost profit, lost opportunity or loss caused by the other party's systems, instructions or data. Be-Sure's aggregate liability for the affected service is limited to the fees paid or payable for it during the 12 months before the event giving rise to the claim. The cap does not apply to fraud, wilful misconduct or where mandatory law requires another result.
The customer is responsible for final third-party claims caused by its unlawful Customer Data, infringement or material breach, except to the extent caused by Be-Sure. Neither party is liable for delay or failure caused by events outside its reasonable control if it reasonably limits the effect and resumes performance when possible.
10. Changes, law and contact
Be-Sure may update these terms for valid legal, security, technical or service reasons. Material changes affecting an active subscription will be communicated in advance. Where required, the customer may end the affected subscription before the change takes effect. Signed negotiated terms are not changed through this page.
Belgian law governs the agreement, without regard to conflict-of-law rules. The competent courts of Antwerp, Belgium have exclusive jurisdiction unless mandatory law or a signed agreement requires another forum.
